These OM2OM Platform Terms of Use (the “Terms”) govern access to the OM2OM online platform, creation and publication of projects, participation in projects, provision of financial, material and hands-on support, and the rights and obligations of users, project creators and the platform owner.

By using OM2OM.MD, registering on the platform, creating a project or participating in a project, the user confirms that they have read, understood and agree to comply with these Terms.

1. General provisions

1.1. OM2OM is an online mutual-support platform designed to enable individuals, organizations and communities to create projects, share ideas that matter to them and find people willing to support them with money, material resources, knowledge, time, work or personal involvement.

1.3. FUNDATIA OM2OM provides the technical and organizational infrastructure for creating, publishing, discovering and supporting projects.

1.4. OM2OM is not an investment, lending or brokerage platform. The platform is not intended for:

raising investments with a promise of profit or any other financial return;
issuing, selling or purchasing securities;
providing or raising loans or credit;
creating investment schemes;
raising funds in exchange for equity in commercial organizations;
carrying out any other regulated investment activity.

1.5. Financial support for OM2OM projects does not provide a participant with equity in a project, ownership of a business, entitlement to profit, interest or any other investment return.

2. Key definitions

Platform — OM2OM.MD, its software, user accounts, project pages and other functions available to users.

User — an individual, legal entity, organization or other person or entity using the platform.

Project Creator — a user who has created and published a project on OM2OM.

Project Participant — a user who has supported a project financially, materially, with time, knowledge, work or by another method provided for by the project.

Project — an initiative published on OM2OM with a defined purpose, description, required resources and, where applicable, an implementation period.

Financial Support — the provision of funds for implementation of the project goal stated by the Project Creator.

Material Support — the provision of goods, materials, equipment, products or other material resources.

Hands-on Support — voluntary participation through time, work, knowledge, professional skills or other actions.

Offer Help — a project format in which the Project Creator offers financial, material or hands-on support to other individuals, projects or organizations on terms described in advance.

Reward — an optional form of appreciation for a participant's support, determined by the Project Creator and not constituting an investment or financial return.

OM2OM Wallet — a personal-account feature displaying funds available to the user, including returned amounts. Such funds may be used to support other projects or requested for withdrawal.

Standard Funding — a financial-project model under which at least 50% of the stated financial goal must be raised for the project to be completed successfully.

“Every Amount Raised Matters” — a financial-project model under which the Project Creator may receive the amount actually raised regardless of the percentage of the stated goal achieved, provided that this model is indicated in advance and approved by OM2OM during moderation.

Moderation — review of a project by the OM2OM administration before publication or after significant changes are made.

3. Registration and user account

3.1. To use certain OM2OM features, a user must register and create a personal account.

3.2. The user must provide accurate, current and complete information.

3.3. The user is responsible for keeping their account access details secure and for actions performed through their account.

3.4. The user must promptly notify OM2OM if they suspect unauthorized access to their account.

3.5. Projects may be created independently by fully legally capable individuals aged 18 or over, as well as legal entities and organizations acting through duly authorized representatives.

4. Types of projects

Projects on OM2OM may be created either to obtain support or to offer help to others.

4.1. Financial Support

Projects aimed at raising funds to implement a specific idea, initiative or stated result.

4.2. Material Support

Projects that require goods, equipment, materials, products or other material resources.

4.3. Hands-on Support

Projects that need people willing to contribute their time, knowledge, professional skills, work or direct involvement.

4.4. Offer Help

In the «Offer Help» section, individuals, companies and organizations may publish their own offers of help to others.

Help may be:

financial — providing a defined amount of money or funding on terms stated in advance;
material — providing goods, products, materials, equipment and other resources;
hands-on — providing time, work, professional knowledge, consultations, services, volunteer participation or other practical assistance.

The Project Creator independently determines the amount of help, the conditions, timing, category of possible recipients and, where applicable, the criteria for selecting them.

Financial help in this section may not be used for loans, lending, investment or providing funds in exchange for interest, profit or any other financial return.

A company or organization may define the amount of help as a fixed sum or as an amount calculated using a metric announced in advance, for example a percentage of sales, provided that the mechanism is described transparently and complies with the laws of the Republic of Moldova.

4.5. If one initiative requires different types of support, the Project Creator may create separate projects for the relevant types.

5. Creating a project

5.1. The Project Creator independently determines the idea and goal of the project.

5.2. When creating a project, the Project Creator must provide sufficient information to allow users to understand:

what the project is about;
what its specific goal is;
why the project matters;
what result is expected;
what resources are required;
how the support received is intended to be used;
the expected implementation timeframe.

5.3. For Financial Support projects, the Project Creator states the required amount, selects an available funding model and provides the banking and other information needed to receive funds.

5.3.1. The Project Creator may select «Standard Funding» or, if appropriate for the nature of the project and approved by OM2OM, the «Every Amount Raised Matters» model.

5.3.2. When selecting the «Every Amount Raised Matters» model, the Project Creator must explain how the funds will be used if the financial goal is not reached in full.

5.3.3. OM2OM may refuse this model if the stated outcome cannot objectively be achieved in part or if using a partial amount would not be consistent with the stated goal.

5.4. The Project Creator is responsible for the accuracy of the information, documents, photographs, videos and other materials they publish.

6. Project moderation

6.1. Every project is reviewed by OM2OM before publication.

6.2. Moderation is intended to verify compliance with these Terms and the platform's general requirements.

6.3. OM2OM may request additional information, documents, evidence or changes to the project description.

6.4. OM2OM may refuse publication if the information provided is insufficient, gives rise to reasonable doubts or the project does not comply with these Terms.

6.5. Successful moderation does not mean that OM2OM guarantees the accuracy of every statement made by the Project Creator, achievement of the project outcome or performance of all obligations by the Project Creator.

7. Eligible projects

A project may be published if:

the Project Creator has the right to create and implement the project;
the project has a clear idea and a specific goal;
the Project Creator has explained why the project matters and what result is expected;
the required resources and timelines are specified where applicable;
sufficient and accurate information has been provided;
the project complies with the laws of the Republic of Moldova and these Terms;
the required payment and banking details have been provided for a Financial Support project.

8. Ineligible projects

OM2OM does not publish projects:

created by persons who lack the required legal capacity or authority;
whose sole purpose is personal purchases or personal consumption without a clear project or outcome;
primarily intended to repay personal debts, loans or mortgages;
related to political campaigning or the financing of political parties, candidates or political campaigns;
intended to promote religious activity or raise funds for religious campaigning;
related to investments, loans, securities or promises of financial returns;
that violate the laws of the Republic of Moldova;
that violate the rights and legitimate interests of third parties;
that infringe intellectual property rights;
that contain knowingly false or misleading information;
that promote violence, hatred, discrimination, terrorism or criminal activity;
that may create an unjustified risk to life, health or property;
whose purpose or intended use of the support received cannot be clearly explained.

8.1. OM2OM does not publish medical projects, including fundraising for treatment, diagnostics, medical procedures, surgery, medicines, medical rehabilitation or other medical expenses of a specific individual.

8.2. This restriction does not automatically prohibit community, educational, infrastructure or other non-medical initiatives of organizations operating in the health sector where the project is not intended to finance the medical expenses of a specific person. Publication is decided by OM2OM following moderation.

9. Publication of a project

9.1. After successful moderation, a project may be published on the platform.

9.2. Once published, project information becomes available to OM2OM users and, where the relevant page is public, to other website visitors.

9.3. The Project Creator may share the project link through websites, social networks, messaging apps, media outlets and other lawful channels.

9.4. Significant changes to the project goal, conditions, required amount or resources may require renewed moderation.

9.5. Certain project functions may be temporarily restricted while renewed moderation is in progress.

10. Supporting projects

10.1. The user independently decides whether to support a particular project.

10.2. Before providing support, the user should review the project description and available information about the Project Creator and project conditions.

10.3. OM2OM does not compel users to support projects and does not guarantee that a project will achieve its stated goal.

10.4. Support may only be provided through the methods made available for the relevant project.

11. Financial Support

11.1. Projects in the «Financial Support» category are intended for the gratuitous support of specific ideas, projects and initiatives.

11.2. The user independently decides which project to support and in what amount.

11.3. Financial Support is voluntary and does not provide the Project Participant with:

equity in a project, company or organization;
ownership of the project or its assets;
an entitlement to profit;
interest or any other financial return;
securities or other financial instruments;
the right to demand repayment of the funds provided, except where expressly provided by law, these Terms or the conditions of the relevant project.

11.4. Financial Support is not a loan, credit, investment, equity contribution or purchase of a financial instrument.

11.5. OM2OM does not promise or guarantee any financial or other property benefit to a participant in exchange for supporting a project.

11.6. Before making a payment, the user is given the opportunity to review the key information about the project, its Project Creator, stated goal and required amount.

11.7. Payments are made using payment methods available on the platform and may be processed by banks, payment organizations and other authorized payment service providers.

11.8. OM2OM does not store full bank card details where entry and processing of those details are carried out directly by the payment provider.

11.9. The Project Creator must use funds received exclusively for the stated project purpose or for expenses reasonably necessary for implementation of that purpose.

11.10. If circumstances arise after publication that materially affect the ability to achieve the stated goal or the use of funds, the Project Creator must inform OM2OM and the Project Participants.

11.11. The Project Creator is independently responsible for tax, accounting, licensing and other obligations arising from the receipt and use of funds, unless otherwise provided by law.

12. Material Support

12.1. A Project Participant may provide the Project Creator with goods, materials, equipment, products or other resources specified in the project.

12.2. The procedure for transfer, delivery, receipt and use of Material Support is determined by the conditions of the relevant project and arrangements between the participants.

12.3. Where OM2OM is not directly involved in receiving, storing or delivering property, the platform is not responsible for its transfer between users.

13. Hands-on Support

13.1. A user may join a project by contributing time, knowledge, professional skills, labor or another form of voluntary activity.

13.2. The specific conditions of participation are agreed between the Project Creator and the Project Participant.

13.3. Unless expressly stated otherwise, participation in such a project is voluntary and does not create an employment relationship between the Project Participant, the Project Creator and FUNDATIA OM2OM.

14. Rewards

14.1. The Project Creator may provide one or more rewards for participants or may choose not to provide rewards at all.

14.2. A reward is a form of appreciation for support and is not an investment, interest payment, dividend or promise of financial return.

14.3. Rewards may be offered in Financial Support, Material Support and Hands-on Support projects where appropriate to the project and supported by the platform functionality.

14.4. The Project Creator independently determines the type and description of the reward, the amount or type of support required, quantity, expected availability date, method of receipt, delivery terms and cost, and other material conditions.

14.5. When selecting a reward, the user provides the information necessary to receive it, including where applicable name, contact details, delivery address, size and other characteristics.

14.6. Information about the selected reward is displayed in the user's personal account. OM2OM may also send notifications by e-mail or other available means.

14.7. Unless the project conditions provide otherwise, rewards are issued or sent after successful completion of the project and after the availability date stated by the Project Creator.

14.8. The Project Creator is independently responsible for production, availability, quality, conformity with description, timing, handover and delivery of rewards.

14.9. OM2OM provides the technical capability to publish reward information but is not the seller, manufacturer or supplier of rewards unless expressly stated otherwise.

14.10. Permitted rewards may include goods, souvenirs and merchandise, products or project outcomes, acknowledgements and mentions, meetings, consultations, tours, participation in implementation, access to materials or content, and other lawful forms of appreciation.

14.11. Rewards may not include cash payments, interest, profit, dividends, investment instruments, goods or services prohibited by law, alcohol or tobacco products, or goods or services for which the Project Creator lacks the required permits or licenses.

15. Obligations of the Project Creator

The Project Creator must:

provide accurate information;
use the support received in accordance with the stated purpose;
promptly inform participants of material changes to the project;
not mislead users;
comply with the laws of the Republic of Moldova;
respect third-party rights;
provide documents and evidence requested by OM2OM where the request is justified by moderation, security, settlement or legal compliance needs;
publish the reporting required by these Terms.

16. Project reporting

16.1. After receiving support, the Project Creator must keep participants informed about implementation of the project and use of the resources received.

16.2. For «Financial Support» projects, the Project Creator publishes reports on project implementation and use of funds 15, 30 and 60 days after completion of fundraising or receipt of funds, unless another schedule has been agreed with OM2OM.

16.3. For «Material Support» projects, reports are published after 15 and 30 days.

16.4. For «Hands-on Support» projects, the Project Creator publishes information about the project result no later than 15 days after completion.

16.5. Reporting may include text, photographs, documents, expenditure information, results achieved and other information allowing participants to understand how the support was used.

16.6. If mandatory reporting is not provided, OM2OM may request explanations, restrict the ability to create new projects, temporarily block the account or indicate in the profile that the Project Creator has failed to fulfil their obligations.

17. Rights of Project Participants

A Project Participant has the right to:

access information about the project available on the platform;
independently choose which projects to support;
receive updates and reports published by the Project Creator;
contact OM2OM regarding operation of the platform;
report suspected violations of these Terms.

18. Suspension and termination of projects

18.1. OM2OM may temporarily suspend or permanently terminate publication of a project if:

false or misleading information is discovered;
the Project Creator violates these Terms;
there are grounds to believe that the project violates applicable law;
a substantiated complaint regarding infringement of third-party rights has been received;
the Project Creator fails to provide requested documents or explanations;
further implementation of the project has become impossible;
continuation of the project may cause significant harm to users or third parties;
this is required by a competent public authority or by the laws of the Republic of Moldova.

18.2. Where possible, OM2OM informs the Project Creator of the reason for restricting or terminating the project.

19. Financial settlements, project success and fees

19.1. For a financial project, the Project Creator sets a financial goal and selects the applicable funding model before publication.

19.2. Under the «Standard Funding» model:

less than 50% of the goal — the project is unsuccessful, funds are not transferred to the Project Creator, no fee is charged and funds are returned to participants' wallets;
50% to 99.9% — the project has successfully completed fundraising; the total OM2OM and payment-aggregator fee is 15% of the amount actually raised;
100% or more — the goal is reached or exceeded; the total fee is 10%.

19.3. Under the «Every Amount Raised Matters» model, no minimum threshold applies. The Project Creator receives the amount actually raised regardless of the percentage of the goal achieved, and the total OM2OM and payment-aggregator fee is 10%.

19.4. This model applies only where it was indicated before publication and approved by OM2OM during moderation. Information about it must be clearly displayed on the project page before a user provides Financial Support.

19.5. For financial projects in the «Charity» category, the total OM2OM and payment-aggregator fee is 5.9% of the amount actually raised where the project is successfully completed under the selected funding model.

19.6. If a charity project uses the standard model and raises less than 50%, it is unsuccessful, no fee is charged and funds are returned to participants. If the «Every Amount Raised Matters» model is approved, no minimum threshold applies and the fee is 5.9%.

19.7. OM2OM does not charge a project-creation fee for «Material Support», «Hands-on Support» or «Offer Help» projects.

19.8. Fees do not include taxes or other mandatory payments owed by the Project Creator.

19.9. The Project Creator independently determines and fulfils tax, accounting and other obligations unless otherwise provided by law.

19.10. Financial conditions, the funding model and the applicable fee must be available to the Project Creator before publication.

19.11. OM2OM does not fund the difference between the amount actually raised and the stated financial goal.

19.12. Before transferring funds, OM2OM may carry out additional verification of the Project Creator, bank details, project documents, payment purpose and other necessary information.

19.13. OM2OM may temporarily suspend transfer of funds where there are reasonable suspicions of fraud, breach of law or these Terms, use of funds inconsistent with the stated purpose, or where verification by a bank, payment organization or public authority is required.

20. Unsuccessful project, cancellation and refunds

20.1. If a financial project using the standard model raises less than 50% of its goal by the end of the stated period, it is considered unsuccessful, funds are not transferred to the Project Creator and are returned to participants.

20.2. This rule does not apply to projects for which the «Every Amount Raised Matters» model was approved and indicated in advance.

20.3. Funds due to be returned are credited to the user's wallet in their OM2OM personal account.

20.4. After crediting, OM2OM notifies the user through the personal account, by e-mail or by another available method.

20.5. The user may direct the funds in whole or in part to another project, leave them in the wallet for later use, or request withdrawal.

20.6. A withdrawal request is submitted through the «Wallet» section. OM2OM may request information necessary to identify the user, verify the payment and comply with applicable law.

20.7. If a request cannot technically be submitted through the personal account, the user may contact support@om2om.md.

20.8. After the request is confirmed, OM2OM initiates withdrawal within up to 10 business days, unless another period is required by law, bank or payment-organization requirements, additional verification or the circumstances of the transaction.

20.9. The actual time for receipt of funds also depends on the bank, payment system and payment method used.

20.10. Withdrawal is made through a method available within the payment infrastructure used. Where required by law, provider rules or anti-fraud measures, OM2OM may require withdrawal to a payment instrument or bank account linked to the original transaction or belonging to the user.

20.11. If the participant selected a reward and the project is considered unsuccessful so that the reward will not be provided, the corresponding Financial Support is returned to the user's wallet.

20.12. A user's change of mind after successful completion of fundraising and transfer or availability of funds to the Project Creator does not in itself constitute a basis for a refund unless otherwise provided by law or the project conditions.

20.13. If funds have already been transferred to the Project Creator but the project is later terminated or material violations are identified, refund issues are considered taking into account use of the funds, the Project Creator's obligations, the nature of the violation and applicable law.

20.14. In cases of knowingly false information, misuse of funds or other unlawful conduct, OM2OM may suspend the project and payments, block the account, request documents and reporting, demand repayment where provided by law or agreement, and contact competent authorities.

21. Non-investment nature

21.1. Through the functionality described in these Terms, OM2OM does not provide services for raising investments or loans between investors, lenders, entrepreneurs and borrowers.

21.2. A user providing Financial Support acts as a participant in gratuitous support of the relevant initiative, not as an investor or lender.

21.3. Project Creators are prohibited from using OM2OM to offer users:

interest on funds provided;
repayment with profit;
equity in a commercial organization;
dividends;
securities;
tokens or other instruments granting financial rights;
any other form of investment return.

21.4. Projects that in substance have characteristics of investment, lending or other regulated financial activity may be rejected or removed by OM2OM regardless of the name used by the Project Creator.

22. Verification of Project Creators and projects

22.1. For user safety, fraud prevention and legal compliance, OM2OM may verify Project Creators.

22.2. Depending on the nature of the project, OM2OM may request:

an identity document;
documents of a legal entity or organization;
proof of the representative's authority;
bank details;
documents supporting the circumstances described in the project;
estimates, invoices, supplier quotations or other evidence of expected expenses;
information about the ultimate beneficiary of the support;
other information objectively necessary for project verification.

22.3. Requesting documents does not mean that OM2OM assumes responsibility for the project or guarantees the accuracy of all information supplied by the Project Creator.

22.4. OM2OM may refuse publication or suspend a project if the Project Creator refuses to provide information reasonably required for verification.

23. Project Creator liability

23.1. The Project Creator is independently responsible for project content, accuracy of information, legality of the project and use of the support received.

23.2. The Project Creator is responsible for performing the obligations stated to participants.

23.3. If the Project Creator misuses funds or resources or knowingly provides inaccurate information, OM2OM may restrict their account, terminate the project and take other measures permitted by law and these Terms.

24. Role and liability of OM2OM

24.1. OM2OM provides infrastructure for interaction between Project Creators and Project Participants.

24.2. Unless expressly provided otherwise, OM2OM is not the implementer of a project and does not assume the Project Creator's obligations to achieve the stated result.

24.3. Project moderation is not a guarantee of success, quality, economic feasibility or achievement of the stated result.

24.4. OM2OM takes reasonable measures to maintain platform functionality and security but does not guarantee absolutely uninterrupted operation of the website.

25. Intellectual property

25.1. A user may publish only materials for which they possess the necessary rights.

25.2. By publishing project materials on OM2OM, the Project Creator grants FUNDATIA OM2OM a non-exclusive right to use those materials to the extent necessary for publication, operation, informational support and promotion of the relevant project and the platform.

25.3. The Project Creator retains all intellectual property rights belonging to them in materials they have created.

26. Personal data

26.1. Users' personal data is processed in accordance with the laws of the Republic of Moldova and the OM2OM «Privacy & Cookies» document.

26.2. The user should review that document before providing personal data to the platform.

26.3. A Project Creator who receives participants' personal data through the platform may use it only for lawful purposes directly related to the relevant project and must ensure appropriate protection of that data.

27. Prohibited conduct

When using OM2OM, users must not:

knowingly provide false information;
impersonate another person;
use the platform for fraud;
infringe the rights of other users;
upload malicious software code;
attempt to obtain unauthorized access to accounts, servers or platform data;
use automated means to disrupt normal operation of the website;
use other users' personal data for unauthorized purposes;
use OM2OM for activities prohibited by the laws of the Republic of Moldova.

28. Account restriction and blocking

28.1. OM2OM may temporarily restrict or block a user's account in the event of a breach of these Terms, suspected fraud, a threat to the security of the platform or other users, or in other cases provided for by law.

28.2. Depending on the nature of the issue, OM2OM may request additional explanations or documents from the user.

28.3. Serious or repeated violations may result in permanent account blocking.

29. Good faith and participant trust

29.1. OM2OM is based on voluntary interaction between people for whom particular ideas, initiatives and outcomes matter.

29.2. Users agree to use the platform in good faith and not to exploit the trust of other participants for unjustified personal gain.

29.3. The Project Creator must make good-faith efforts to achieve the stated goal and openly inform participants of material circumstances affecting the project.

29.4. Failure to achieve the stated result is not in itself a breach of these Terms where the Project Creator acted in good faith, used the support in accordance with the stated purpose and provided accurate reporting to participants.

29.5. Concealing material information, intentionally misleading participants, fictitious projects, forged documents and knowingly using received support for unrelated purposes are considered material breaches of these Terms.

30. Complaints and reports of violations

If a user believes that a project, another user or information published on the platform violates these Terms or applicable law, they may report it to OM2OM at:

OM2OM may request additional information necessary to review the report.

31. Changes to these Terms

31.1. FUNDATIA OM2OM may amend these Terms in connection with development of the platform, changes to functionality, legislation or service conditions.

31.2. The current version of the Terms is published on OM2OM.MD with the date of the latest update.

31.3. Material changes apply from the date specified in the new version unless otherwise required by law.

32. Governing law and dispute resolution

32.1. These Terms are governed by the laws of the Republic of Moldova.

32.2. The user and FUNDATIA OM2OM will seek to resolve disputes through negotiations and written correspondence.

32.3. If a dispute cannot be resolved in this manner, it will be resolved by the competent authorities or courts of the Republic of Moldova in accordance with applicable law.

33. Final provisions

33.1. If any provision of these Terms is held invalid or unenforceable, this does not affect the validity of the remaining provisions.

33.2. Matters not governed by these Terms are governed by the laws of the Republic of Moldova and, where necessary, by separate agreements between FUNDATIA OM2OM and the relevant user or Project Creator.

33.3. Applicable OM2OM policies and documents, including the «Privacy & Cookies» document, form an integral part of the rules governing use of OM2OM.
